Copps DiPaola Silverman, PLLC has extensive experience in the creation of all types of for-profit entities, including corporations, professional service corporations (PC), limited liability companies (LLC), professional limited liability companies (PLLC), limited partnerships (LP), and limited liability partnerships (LLP). We assist our clients with all initial filings with the New York State Department of State (DOS), any required publications, and also with drafting any necessary or required internal documents, such as bylaws, shareholder agreements, and operating agreements.

Our firm also has extensive experience in the creation of not-for-profit and religious corporations, including filings with DOS, the New York Attorney General Charities Bureau (AG), and the IRS (Form 1023 and 1023-EZ – application for tax exempt status). We also have experience with obtaining AG and/or Court approval, where necessary, of sales of real property, sales of all or substantially all of the entities’ assets, mergers, and dissolutions.

We also advise all of our clients of their future filing requirements and remain available to assist with those filings, if needed. If the client intends to have employees, we can also assist them with obtaining appropriate insurance, drafting an employee handbook and/or policies, complying with all posting requirements, and drafting all necessary paperwork for new employees to sign. We also remain available to advise our clients on any miscellaneous issues that may arise in the operation of their business and can attend board or shareholder meetings, if necessary.
